Most groups do not know the state of their own entities.

Entities accumulate. They are set up for a reason, inherited through acquisition, or left running after the reason has gone. Three questions usually have no confident answer.

Is each entity actually compliant

A health check reviews the existing structures and corporate documents to identify breaches and concerns: director and officer mandates, registered address, AGMs for annual accounts, corporate filings, business names, quorum against the articles, and bank signatories.

Is it the structure you would choose today

A global organizational structure review covers consolidation and expansion, setting out the requirements, processes and interdependencies. The same work supports market entry planning and the choice of entity type where you are going next.

What are your directors personally carrying

Director and officer liability differs by country and by entity type, and the people named on the register are rarely the ones tracking it. We set out the liabilities for the company and its officers in each country of operation, and the differences per entity type.

The health check

Seven things we check, against the record.

Every check is made against a source that exists independently of what anyone believes to be true: the register, the articles, the filings. That is the point of the exercise.

  • A full check reviews the corporate documents directly, and reports breaches with recommendations to resolve them
  • A light check works from public records only — director mandates, annual returns and registered business names
  • We can also obtain a Certificate of Good Standing from the relevant Chamber of Commerce or equivalent

Boards and committees

A board that works the way the jurisdiction expects.

What a Chairperson or a Secretary is required to do, how many directors constitute a quorum, which committees must exist and what their terms of reference must say — all of it varies by country and by entity type.

  • Board compensation analysis, plus board training and development
  • Guidance on the role of a Chairperson and a Secretary, and the requirements per country and entity type
  • Committees: establishment, removal, composition, reporting lines, charters and terms of reference
  • ESG reporting advisory, covering local regulations, standards, reporting metrics and annual report preparation

How it works

Check, evaluate, act.

Most engagements begin with a health check, because the rest of the decisions depend on knowing the current position.

01
Check

A health check of the entities in scope, full or light, against the register, the articles and the filings. You get the compliance status of each entity and recommendations on how to improve it.

02
Evaluate

A global organizational structure review covering consolidation and expansion, the entity types in use, governance planning, and director and officer liability in each country of operation.

03
Act

Setting up new entities, streamlining existing ones, board and committee support, and advice on your group company secretarial strategy, including outsourcing, software selection and data migration.

Questions we get asked.

How is this different from your entity management service?

Entity management is the ongoing work of keeping entities in good standing: filings, registers, records and deadlines, year after year. Consulting is the advisory layer on top, usually a defined piece of work such as a health check, a structure review or board support. Either can be taken on its own.

What is the difference between a full and a light health check?

A full check reviews your actual corporate documents, which means it can see things public records cannot, such as quorum against the articles or who holds the bank mandate. A light check works from public records only — director mandates, annual returns and registered business names. Light is faster and useful across a large estate; full is what you want before a transaction.

We think we have entities we no longer need. Can you confirm that?

Yes. The structure review establishes which entities your operating model actually requires. Where entities should be wound down, the tax-efficient route through clearance, deregistration and repatriation of trapped cash sits with our tax advisory team, and the two pieces of work are usually run together.

Can you tell us what our directors are exposed to?

We set out the liabilities that attach to the company, its directors and its officers in each country of operation, and how those differ by entity type. It is one of the more common reasons a group commissions this work, particularly where local directors were appointed years ago and never reviewed.

Are you advising on company law?

We provide entity management and governance advisory grounded in local corporate practice, and work alongside your legal counsel where a matter requires legal advice. Where local counsel is needed and you do not have it, we can coordinate it.

We are choosing entity management software. Can you help?

Yes. We advise on group company secretarial and legal entity management strategy, including whether to outsource, which software solutions fit the estate you actually hold, and support with data migration once a decision is made.
